SUCCESSORS AND ASSIGNS (COLLECTIVELY, “RELEASEES”) BE LIABLE TO YOU IN
RESPECT OF YOUR USE OF OR ACCESS TO ANY MATERIALS CONTAINED ON THE SITE
OR ACCESSED THROUGH IT, OR RELATED TO THESE TERMS OF SERVICE, FOR ANY
DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION ANY DIRECT, INDIRECT,
PUNITIVE, SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES, WHETHER BASED
UPON LOSS OF PROFITS, LOST TIME OR LOST MONEY, OR OTHERWISE, WHETHER OR
NOT SUCH LOSS OR DAMAGE IS BASED ON CONTRACT, WARRANTY, NEGLIGENCE,
INDEMNITY OR OTHERWISE.
Indemnity
You agree to
defend, indemnify and hold harmless the Releasees and each of them from
and against any and all claims, actions, liabilities or demands,
including without limitation reasonable legal fees, arising out of,
related to, or based upon your use of the Site and the materials
contained on it or any third party websites, or your breach of these
Terms and Conditions.
Choice of Law
The laws of New
Brunswick and the federal laws of Canada applicable therein, shall
govern these Terms of Service, and your rights and obligations, and all
actions contemplated by these Terms of Service as if these Terms of
Service were a contract wholly entered into and wholly performed within
the Province of New Brunswick.
No Waiver
Dooly's
failure to insist upon or enforce strict compliance with any provision
of these terms and conditions shall not be construed as a waiver of any
provision or right.
Severability
If any provision
or part of these Terms of Service is found to be invalid, void or
otherwise enforceable, the remainder of these Terms of Service shall
continue in full force and effect.
